Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and PoultryPro ("Company," "we," "us," or "our") regarding your access to and use of the PoultryPro platform, including our website, mobile applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Account Registration and Security

Account Creation

To use certain features of the Service, you must register for an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

Account Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

Subscription and Payment

Free Trial

We may offer a free trial period for new users. At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

Paid Subscriptions

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are in Kenyan Shillings (KES) or US Dollars (USD) unless otherwise stated
• Fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice
• You authorize us to charge your payment method for all fees

Cancellation and Refunds

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial months or unused time, except as required by law.

User Responsibilities and Conduct

Data Ownership and Intellectual Property

Your Data

You retain all rights to the data you input into the Service ("Your Data"). By using the Service, you grant us a license to use Your Data solely to provide and improve the Service. We will not sell or share Your Data with third parties except as described in our Privacy Policy.

Our Intellectual Property

The Service, including all software, text, graphics, logos, and other content (excluding Your Data), is owned by PoultryPro and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property.

Service Availability and Modifications

Uptime and Maintenance

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice.

Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for significant changes that materially affect your use of the Service.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POULTRYPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless PoultryPro and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

Termination

By You

You may terminate your account at any time by contacting support or using the account deletion feature in your settings.

By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in fraudulent or illegal activity. Upon termination, your right to access the Service will immediately cease.

Data Retention

Upon termination, you may request a copy of Your Data within 30 days. After 30 days, we may delete Your Data from our systems, except as required for legal or regulatory purposes.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Nairobi, Kenya, or in the courts of Kenya.

Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
